الملخص بالعربية |
إن فكرة شركة الشخص الواحد فكرة قديمة ظهرت في عدة دول وذلك بإحدى حالتيها، إما بالتكوين المباشر أو التكوين غير المباشر، ومن هذه الدول ألمانيا وفرنسا والولايات المتحدة الأمريكية وإنجلترا.
كان للأردن السبق من بين الدول العربية في إدخال هذه الفكرة إلى معجمها القانوني من خلال استحداث قانون الشركات الأردني لشركة الشخص الواحد في إطار الشركة ذات المسؤولية المحدودة وذلك بموجب القانون رقم (2) لسنة 1997 والقانون المعدل رقم (40) لسنة 2002، وكل من الشركة المساهمة العامة بموجب القانون المعدل رقم (40) لسنة 2002، والشركة المساهمة الخاصة بموجب القانون المعدل رقم (4) لسنة 2002.
ومن بين الدول العربية الأخرى التي أخذت بفكرة الشخص الواحد بصريح العبارة: مملكة البحرين ودولة قطر والجمهورية الجزائرية.
وتأتي أهمية شركة الشخص الواحد في كونها نظام صالح للبيئة التجارية تساعد على تشجيع الاستثمار، والانفراد في الإدارة إلا أنها تواجه مشاكل قانونية وعملية تفقدها أهميتها ومبررات وجودها، وتتمثل هذه المشاكل والصعوبات في اصطدام فكرة شركة الشخص الواحد بالمبادئ القانونية الراسخة في القانون المدني أو القانون التجاري كمبدأ وحدة الذمة المالية والنظرية العقدية للشركة، ورأينا ضرورة ألا نعتكف خلف الأنظمة القانونية التي باتت بالفعل قديمة نتيجة لما يشهده العالم من تطورات في شتى ميادين الحياة التجارية والاقتصادية، بل يجب علينا البحث عن الأنظمة القانونية التي تنسجم وتتلاءم مع طبيعة العمل التجاري، وتلبي احتياجاته كنظام شركة الشخص الواحد والتي تعد من أكثر الوسائل ملائمة لتشجيع الصناعات الصغيرة والمتوسطة.
وتهدف هذه الدراسة إلى بيان الصعوبات القانونية التي يثيرها تبني هذه الشركة في النظم القانونية المقارنة وبالأخص تلك التشريعات التي ما زالت حبيسة المفاهيم القانونية القديمة خصوصاً وأن التشريعات الغريبة قد تبنت فكرة شركة الشخص الواحد التي أثبتت نجاحها وجدواها ومن بعدها تبنتها بعض التشريعات العربية كالمشرع الأردني الذي أحسن عندما أخذ بهذا النظام والذي إن دل على شيء إنما يدل على مواكبته للتطورات العالمية وتقديره للفوائد العملية التي يحققها هذا النظام.

Jordan had the precession in between the Arab states in insert this idea to its law dictionary through the development of the Jordan's company law for the one person company in the framework of limited liability company in accordance with law no.(2) year 1997 and the amended law no.(40) for year 2002, and each of public joint stock company in accordance with the amended law no.(40) for year 2002, and private joint-stock company in accordance with the amended law no.(4) for year2002.
And from the Arab states that take the idea of one Person Company frankly speaking the kingdom of Bahrain, Qatar and the Republic of Algeria.
And the importance of one person company comes from it is a good regime for business environment, it help in encouraging the investment and monopoly in administration, and the establishment of it directly or indirectly it face legal and procedure problems which lose their importance and justifications for its existence. These problems appear in the difficulty in collision idea of the one person company with the legal principles in civil law or commercial law in financial disclosure unit and the contractual theory company, so we had seen the importance of not to stay behind the legal regimes which become too old as result for what the world seen in the development of different fields of commercial and economic life, but we should search for legal regimes which coordinate and fit with nature of commercial work (business), satisfy its needs as system of one person company, its one of the most appropriate means to encourage the small and medium industries.
This study aims to state the legal difficulties which rose from making this company in other legal systems and knowing how much the harmony of this idea with the legal rules to reach appropriate solutions to these difficulties.
This study confirmed the importance of adoption the one person company in Jordan also and other states specially those statutes which still trapped in old legal concepts, the western legislation had adopted the idea of one person company which proved its success and feasibility, and after that the Arabic legislation adopted it as the Jordan's legislator who has done well when he done this system, which prove that he keep pace with international development and his appreciation for the practical benefits that this system achieved and this type of companies
