تناولت هذه الدراسة موضوع حماية أقلية المساهمين في شركات المساهمة العامة ,وقد هدفت الدراسة لبيان الجوانب القانونية التي تقوم بحماية حقوق أقلية المساهمين في قانون الشركات الأردني بما تضمنته من أحكام من خلال إحاطة الشركة المساهمة العامة بجملة من النصوص التشريعية , والتي تحكم كامل حياة الشركة من لحظة إبرام عقدها ونظامها مروراً بإجراءات التأسيس إلى غاية ختم إجراءات تصفيتها، وانعكاس ذلك على اتخاذ القرار الذي يضمن حماية رأس مالها من التلف والتلاعب وتعسف الأغلبية، ويحفظ حقوق المساهمين فيها من الضياع، ويكفل سيرها، وفقاً للهدف الذي قامت من أجله, وبيان أن المقصود بحماية أقلية المساهمين في الشركات المساهمة العامة التي ارتكز عليها هذا البحث هو حمايتهم من القرارات الصادرة من الأغلبية عند ممارستهم لسلطتهم، وإدارة أعمال الشركة، والتي قد تلحق الضرر بأقلية المساهمين، لذا تبرز أهمية هذا البحث في الوقوف على عدة جوانب من مظاهر هذه الحماية التي تكفل مبدأ المساواة بين المساهمين.
وقد جاءت هذه الدراسة في فصلين, سبقهما فصل تمهيدي عرضت الباحثة من خلاله للتعريف بالشركة المساهمة العامة وبيان مفهوم الأقلية ودور المساهم في الشركة، وعرضت الباحثة في الفصل الأول القواعد التي تحمي أقلية المساهمين خلال مرحلة تأسيس الشركة وقواعد الإفصاح والشفافية, وفي الفصل الثاني تناولت مظاهر حماية الأقلية لبيان حق أقلية المساهمين في رفع دعوى المسؤولية ضد مجلس الإدارة ,وإمكانية تفعيل نظرية التعسف في استعمال الحق الواردة في القانون المدني.
وقد خلصت الدراسة إلى ضرورة إعادة النظر في بعض الأحكام والقواعد الواردة في قانون الشركات الأردني لتحقيق أفضل حماية للمساهمين وتأمين رقابة على كافة أعمال ونشاطات الشركة, لتحقيق أكبر حماية ممكنة لأقلية المساهمين.

This study has examined the issue Protection of minority shareholders in public Shareholder companies , This study aims to reveal the legal aspects, which protect the rights of the minority shareholders, in the Jordanian Companies Law and the accompanied rules, and to clear out most important features of this protection through providing company with a set of legislative provisions which are imperative in a time, and complementary in another time, and govern completely the corporation?s life from the time of establishing its contract and organization, through establishment procedures, to the time of its liquidation, and the reflection of all of these on decision making which guarantees protection of its capital from deterioration, manipulation and authoritarian majority, and to protect shareholders rights from being lost, and guarantees its smooth operations according to the projected goal ,and What is meant by the protection of shareholders minority at the Ltd companies, which this research is based upon, is to protect them from decisions that are made by the majority when they exercise their power, and manage the company?s affairs; which may harm the shareholders minority or be in favor of the majority?s interest. Thus, the importance of this study is shown by investigating several aspects of this protection, which guarantees the equality principle among shareholders.
This study has been organized into chapters preceded by preliminary one illustrating the definition of public shareholder company and What is meant of shareholders minority, and the role of the shareholder in company, First chapter discusses the rules that protect the minority shareholders, rights through disclosure and transparency while second chapter discusses the features of legal protection of minority shareholders related to the monitoring the right of minority shareholders in raising reliability case against the management board
This study concludes with the necessity to revise some of the rules and provisions of the Jordanian Companies act to be in the interest of companies and shareholders, and guarantee the monitoring over company activities and operations within disclosure and transparency principles.
