الملخص بالعربية |
هدفت هذه الدراسة إلى التعرف على استحواذ أقلية المساهمين في الشركة المساهمة العامة وكيفية الاستحواذ على هذه الشركات, والتعرف على أنواع الاستحواذ وخصائصه, وعقد الاستحواذ المبرم ما بين المستحوذ والشركة المستحوذ عليها .
وتبرز أهمية هذه الدراسة في توضيح مدى أثر القوانين التي وضعها المشرع الأردني لحماية أقلية المساهمين في الشركة المساهمة العامة وحماية أموال الشركات .
وتكمن مشكلة الدراسة في الكشف عن مدى نجاعة النصوص القانونية التي أصدرتها التشريعات الأردنية في كل من قانون الشركات الأردني وهيئة سوق الأوراق المالية من أجل حماية أقلية المساهمين في الشركات المساهمة العامة , وللتعرف على الآليات القانونية التي وضعها المشرع الأردني لإتمام عملية الاستحواذ من خلال المساهمين أنفسهم أو من خلال الشركات المساهمة أو القابضة دون إلحاق الضرر بالمساهمين في ظل التشريعات الأردنية الواردة في قانون الشركات الأردني وهيئة سوق الأوراق المالية.
وقد استخدم الباحث لإجراء هذه الدراسة المنهج الوصفي التحليلي, وقد توصلت هذه الدراسة الى: أن الاستحواذ عملية اقتصادية تتم بصياغة قانونية تهدف إلى تحقيق اهداف كثيرة ومتنوعة بالنسبة لأطرافها فهي تتيح للشركة المستحوذة حق السيطرة على الشركة المستحوذ عليها, ولا تتم هذه العملية إلا بعد استشارة المتخصصين والخبراء, وقد شرع القانون الاردني عملية الاستحواذ على الشركات المساهمة من خلال استحوذ المساهمين في الشركة ومن خلال الشركة القابضة ومن خلال عقد نقل التكنولوجيا, كما أوردت التشريعات بأن المستحوذ يتحمل مسؤولية ما يرتكبه من أخطاء شخصية يترتب عليها ضرراً للغير. كما أوصت الدراسة إلى مواكبة التطورات والمستجدات على عمليات الاستحواذ, مع إيضاح مفهوم الاستحواذ على الشركات المساهمة العامة وآثاره على الشركات المساهمة العامة والمساهمين فيها وتحديد الحقوق القانونية للمساهمين في
الشركة المساهمة العامة في الاردن. |

This study aimed to identify the acquisition of minority shareholders in the company's public shareholding and how the acquisition of these companies, and to identify the types and characteristics of the acquisition, and the acquisition contract concluded between the acquirer and the acquire.
The importance of this study is to clarify the extent of the impact of laws developed by the Jordanian law for the protection of minority shareholders in the company's public shareholding and the protection of the corporate finance.
And lies study the problem of the detection of the extent of the efficacy of the legal texts issued by the Jordanian legislation in each of the Jordanian companies and the stock market law for the protection of minority shareholders in public shareholding companies, and to identify the legal mechanisms established by the Jordanian legislator to complete the acquisition process by themselves or shareholders by contributing or holding companies without damaging the shareholders under contained in the Jordanian companies and the stock market law Jordanian legislation.
