الملخص بالعربية |
يعتبر عقد الإستثمار الصناعي من العقود المهمة ويعد من الأركان التي تقوم عليها السياسة الإقتصادية للدول بهدف تحقيق التنمية في المجتمعات وعلى مختلف الأصعدة, مما جعله يحظى بإهتمام المشرع بتنظيم أحكامه في تشريعات مستقلة.
هذه الأهمية يقابلها ضرورة إعداد صياغة عقد لعملية الإستثمار الصناعي ومن ثم وضعه في إطار قانوني يحوي ويضم بين جنبتيه الأحكام والنصوص القانونية للتشريعات والقوانين الناظمة لعملية الإستثمار الصناعي, ليشكل خارطة واضحة المعالم امام المستثمر الصناعي ومن ثم تحقيق الاهداف المنشودة من عملية الإستثمار الصناعي .
وخلصت الدراسة إلى مجموعة من النتائج والتوصيات من أهمها أن عقد الإستثمار الصناعي في حال تبني المشرع تنظيمه وتقنينه يمكن أن يكون أطار قانوني لعملية الإستثمار الصناعي والأداة المنظمة لهذه العملية وتوفير المناخ الملائم للاستثمار يتم من خلالها تقرير مبدأ التوازن بين طرفي العلاقة الإستثمارية, وبالتالي يكون الوعاء الذي يحوي نصوص وأحكام تشريعات الإستثمار الصناعي, ومن أهم التوصيات التي خرجت بها الدراسة التوصية للمشرع العراقي والاردني أن يضعا صياغة قانونية تشريعية لعقد الإستثمار الصناعي تكون إطاراً للقوانين والتشريعات الناظمة له, يتناول في بنوده تنظيم عملية الإستثمار الصناعي وفق الأطر العامة والإبقاء على البنود والحالات الخاصة لصياغتها وفق ما تحكمهُ طبيعة المشروع الصناعي وإتفاق الأطراف في العقد .

Industrial investment contract is an important contract that is deemed as a component on which the economic policy of states is based with a view to achieve community development at all levels, the matter that renders it a subject of concern to the legislator to regulate the provisions thereon in separate legislation.
Due to this importance, the preparation of the form of an industrial investment contract, then molding the same in a legal framework containing and contemplating the legal provisions and acts of legislation and laws organizing the process of industrial investment process is necessary, so to shape a clear map for the industrial investor then realize the anticipated objectives of the industrial investment process.
Thesis concludes to a set of findings and recommendations, of which the most important are that the industrial investment contract can, in the event where the legislator opts to regulate and codify the same, serve as a legal framework for the industrial investment process and as the tools organizing this process, along with creating the adequate climate for investment, in addition to establishing the principle of balance between the parties to the investment relationship. It also would serve as the vessel containing the provisions and terms of industrial investment legislation. Recommendation to the Iraqi and Jordanian legislator is to draw up a legislative legal wording for the industrial investment contract to be used as a framework for laws and legislation regulating the same, and whose terms regulate the industrial investment process in accordance to the general frameworks, while leaving the formulation of the special terms and cases to governing nature of the industrial project and to the agreement of the contracting parties.
