الملخص

إذا توافرت في التظهير الناقل للملكية الشروط الموضوعية والشكلية اللازمة لصحته، ترتب على المظهر التزاماً بنقل ملكية الحقوق الناشئة عن الورقة التجارية إلى المظهر إليه، والتزاماً بضمان القبول والوفاء، وأخيراً تطهير الدفوع, وهذه الالتزامات تتشابه مع التزامات البائع في عقد البيع الذي يلتزم بنقل ملكية المبيع للمشتري، وبتسليمه إليه وأخيراً ضمان المبيع له. إن الحق الثابت في الورقة التجارية محل التظهير إذا كان مضموناً برهن تأميني، فإن هذا الرهن لا ينتقل إلى المظهر إليه بمجرد التظهير، وإنما يتطلب قيد الرهن لمصلحة المظهر إليه في دائرة التسجيل المختصة؛ كما هو الحال في عقد البيع، وإن ذلك يتنافى مع الوظائف المختلفة التي تؤديها الأوراق التجارية في مجال التجارة، بين الدائن والمدين، سواء من حيث كونها وسيلة مهمة للإبراء، أو لقيامها مقام النقود في الوفاء بالالتزامات، وسهولة تداولها، لكونها تمثل قيمة محددة ودفعها لا يكون معلقاً على شرط.

Abstract

If transferring endorsement has met legal objective and formal conditions, the endorser becomes obligated to transfer the rights implied in the commercial paper to the endorsee and obligated to guarantee acceptance and meeting conditions and finally clearing demurrers. These obligations are similar to the sellers obligations in the sale contract in which he is obligated to transfer the right of possession of the sold goods to the buyer and to guarantee the subject matter of the sale contract. The right in the commercial paper was guaranteed by an ensured mortgage as the mortgage is not transferred to the endorsee once endorsed; it requires registering the mortgage in the proper records, as it is the case in the sale contract. This is contrary to the different functions, which commercial papers perform in commerce between creditor and debtor as they represent an important settlement tool or a substitute for money in fulfilling obligations due to their easy circulation as they represent a limited value, and their pay is not dependent on a condition
